terms of service
The terms, in writing.
These terms are the agreement between you and Logits Inc. ( “Logits”, “we”) for the Logits API, console and website (the “Service”). By creating an account or using the Service you accept them. If you accept them for an organization, you confirm you can bind it, and “you” means that organization.
Effective date: October 28, 2026.
1. Accounts and API keys
- You must be at least 18 and give accurate sign-up information. We may approve or decline new accounts.
- You are responsible for all activity under your account and API keys. Keep keys secret, and revoke any key you think is exposed.
- You may not use the Service if you are located in, or acting for someone in, a country or on a list subject to US sanctions.
2. Acceptable use
You will not use the Service to:
- break the law, or infringe or violate anyone's rights, including privacy and intellectual property;
- create or distribute sexual content involving minors, or content that exploits or harms children;
- develop biological, chemical, nuclear or radiological weapons, or plan violence;
- create malware, attack systems, or harass, defraud or impersonate people;
- probe, overload or get around the Service's security, authentication, rate limits or billing;
- break the license or usage terms of the model you call.
We may suspend traffic that breaks these rules. Where the law requires disclosure that content is AI-generated, you are responsible for making it.
3. Models and outputs
Models on Logits are provided under their developers' licenses, and you must follow any terms that apply to users of those models. Model outputs can be wrong, incomplete or unsuitable, and similar requests can produce similar outputs for other users. Review outputs before you rely on or publish them.
4. Your content
You keep all rights to what you send to the API and what it returns (“Content”). You give us permission to process Content only to provide the Service. We do not store Content and do not train models on it, as described in our privacy policy. You are responsible for having the rights and any legal basis needed to send us Content, including personal data.
5. Resellers, routers and aggregators
You may resell access to the Service or make it available to your own users, including through an API router, aggregator, gateway or developer tool, on these conditions:
- You are our customer. You pay for all usage under your account, including your users' usage. Your prices and terms to your users are your business.
- Your users follow the rules. You bind your users to terms at least as protective as section 2, you are responsible for their use, and you act promptly on abuse we report to you.
- Accurate listing. You may name Logits as a provider, use our name and logo to identify us, and list the model names, prices, context lengths and other details we publish. You may not suggest we endorse your service, or misstate which model or provider served a request.
- Data. Your users' personal data is governed by your own privacy policy. We handle traffic you send us as our privacy policy describes: no Content is stored or used for training.
- Limits. We may set rate and capacity limits for your account and change them with notice.
This section grants no other license to our name, marks or software.
6. Prices, credits and payment
- Prices. Usage is charged at the prices shown in the console and on our pricing page when the request is made. We may change prices for future requests; changes are published there before they apply.
- Prepaid credit. You buy credit in advance. US$1 buys 1 credit unless an offer says otherwise. Promotional credit is used before purchased credit. Credit expires 12 months after it is purchased or granted. Promotional credit may expire sooner if the offer says so. Expired credit cannot be used and is not refunded.
- Usage beyond your balance. A request is accepted while your balance is above zero. The final charge depends on the tokens actually used, so a request can take your balance below zero. You owe any negative balance, and new credit is applied to it first.
- Automatic top-up. If you turn it on, you authorize us to charge your saved card the amount you choose whenever your balance falls below your threshold. You can turn it off at any time in the console.
- How charges are measured. Charges come from our usage records. If a request ends without a reliable usage report, for example after a dropped connection or timeout, we do not charge it unless its usage is later verified.
- Refunds. Credit is non-refundable, except for billing errors and where the law requires a refund. If we end the Service, or close your account without cause, we refund unused purchased credit.
- Taxes. Prices exclude taxes. You pay any taxes that apply to your purchases, other than taxes on our income.
- Billing questions. Tell us about a charge you dispute within 60 days of the charge.
7. Availability and changes
We work to keep the Service available but do not guarantee uptime unless we sign a separate service-level agreement. We may add, change or retire models and features, and we give advance notice before retiring a model where we reasonably can.
8. Suspension and termination
You can stop using the Service and close your account at any time. We may suspend or end your access if you breach these terms, do not pay, create a security or legal risk, or if the law requires it. Where we reasonably can, we notify you first. Sections 4, 6 (amounts owed), and 9 to 14 survive termination.
9. Confidentiality and feedback
Each party will protect the other's non-public information that it receives under these terms and use it only for this agreement. If you send us feedback, we may use it without obligation to you.
10. Disclaimers
The Service and all outputs are provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. Nothing in these terms limits rights that cannot be limited under applicable law.
11. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Each party's total liability under these terms is limited to the greater of the amounts you paid us in the 12 months before the claim and US$100. These limits do not apply to your payment obligations, your indemnity in section 12, or breaches of section 2.
12. Indemnity
You will defend and indemnify Logits Inc. against third-party claims arising from your Content, your use of the Service in breach of these terms, or, if you resell access, your users' use of it.
13. Governing law and disputes
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising from these terms or the Service, and both parties consent to that jurisdiction. Either party may seek urgent injunctive relief in any competent court.
14. Changes and general terms
- We may update these terms. We post changes here, update the effective date, and email account holders at least 30 days before a material change takes effect. Using the Service after that means you accept the change.
- These terms, the privacy policy and any order form or agreement signed by both parties are the whole agreement. A signed agreement prevails over these terms.
- You may not assign these terms without our consent; we may assign them to an affiliate or a successor. If a provision is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control.
- We send notices to your account email address. Send notices and questions to support@logits.com.
